By submitting, posting, or displaying content on or through the Services, you grant Finage a worldwide, non- exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content in any and all media or distribution methods (now known or later developed). • Content Standards: You agree not to post, upload, transmit, or make available any content that is: • Unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable. • False, misleading, or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory, or libelous.
5.4 Reporting Misuse If you encounter any misuse of the Services or violations of these Terms, you are encouraged to report such activities to Finage immediately. Finage reserves the right, but not the obligation, to monitor the Services for the purpose of ensuring compliance with these Terms, to remove any content that violates these Terms, and to suspend or terminate the accounts of users who violate these Terms.

6.1 Termination by User • Account Deactivation: You may choose to deactivate your account at any time. Account deactivation will result in the termination of your access to Finage services. To deactivate your account, please follow the instructions within your account settings or contact our support team for assistance. • Effect of Termination: Upon deactivation of your account, any data or content stored in your account will no longer be accessible. We encourage you to export any essential data prior to account deactivation.
6.2 Termination or Suspension by Finage • Breach of Terms: Finage reserves the right to terminate or suspend your access to the services immediately, without prior notice or liability, if you breach any of the terms and conditions of this Agreement. • Misuse of Services: Any attempt to undermine the security, integrity, or proper functioning of the services may result in immediate termination or suspension of your account. • Legal and Regulatory Compliance: Finage may terminate or suspend services to comply with legal or regulatory requirements, protect the rights and safety of our users, or prevent access from specific geographic regions due to legal or regulatory constraints.
6.3 Consequences of Termination • Access Revocation: Termination or suspension of services will result in the revocation of your access to the services, including any content or data held within your account. • Survival: Termination or suspension of your account does not affect any accrued rights and obligations up to the date of termination or any provisions meant to survive termination.
6.4 Reinstatement • Appeal Process: If your account has been suspended or terminated, you may contact Finage to appeal the decision. The reinstatement of your account will be at the sole discretion of Finage, based on the circumstances of the suspension or termination.
6.5 Notification • Notice of Termination: Finage will make reasonable efforts to notify you of the termination or suspension of your account, along with the reason for the action, unless such notification would (a) violate the law or a legal process or (b) compromise an investigation into unlawful activity.
7.1 Disclaimers • General Disclaimer: Finage provides its services on an "as is" and "as available" basis without any warranties, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non- infringement. Finage makes no warranty that the services will meet your requirements, be available uninterrupted, secure, or error-free, or that any defects in the services will be corrected. • Market Data and Content Disclaimer: Finage does not warrant the accuracy, completeness, or usefulness of any information, market data, or other material provided through the services. Any reliance you place on such information is strictly at your own risk. • No Financial Advice: Information provided through Finage's services is for informational purposes only and is not intended as financial, investment, legal, or tax advice. Decisions based on information provided by Finage are the sole responsibility of the user.
7.2 Limitations of Liability • Scope of Liability: In no event will Finage, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any conduct or content of any third party on the services; (iii) any content obtained from the services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not Finage has been informed of the possibility of such damage. • Cap on Liability: Without limiting the foregoing, Finage's total liability to you for all claims arising out of or related to the use of or any inability to use any portion of the services or otherwise under these terms, whether in contract, tort, or otherwise, is limited to the amount you have paid to Finage for access to and use of the services in the twelve (12) months prior to the event or circumstance giving rise to the claims. • Jurisdictional Limitations: Some jurisdictions do not allow the exclusion or limitation of certain warranties or the limitation or exclusion of liability for incidental or consequential damages, so the limitations above may not apply to you to the extent they are prohibited or superseded by state or national provisions.
8.1 Agreement to Arbitrate You and Finage agree that any dispute, claim, or controversy arising out of or in connection to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in United Kingdom, before one arbitrator. The arbitration shall be administered by United Kingdom pursuant to its Arbitration Rules and Procedures. Judgment on the Award may be entered in any court having jurisdiction.
8.2 Arbitration Rules • Initiation of Arbitration: To begin an arbitration proceeding, you must send a letter requesting arbitration and describing your claim to our registered agent. The arbitration will be conducted under the rules of United Kingdom then in force. • Costs: The payment of filing, administration, and arbitrator fees will be governed by the United Kingdom’s rules. Finage will not seek attorneys' fees and costs in arbitration unless the arbitrator determines the claims are frivolous.
8.3 No Class Actions You may only resolve disputes with us on an individual basis and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations are not allowed.
8.4 Exceptions to Arbitrate Disputes relating to the infringement or misappropriation of our intellectual property rights or the intellectual property rights of our affiliates, licensors, or suppliers are not subject to this arbitration agreement. Such disputes shall be exclusively litigated in the courts of United Kingdom.
8.5 Opt-Out of Agreement to Arbitrate You can decline this agreement to arbitrate by providing us written notice of your decision to opt-out, sent to the address specified in these Terms, within 30 days of first accepting these Terms.
8.6 Judicial Forum for Legal Disputes In the event that the agreement to arbitrate is found not to apply to you or your claim, you and Finage agree that any judicial proceedings will be brought in the federal or state courts of United Kingdom, and both parties consent to venue and personal jurisdiction there.
9.1 Right to Amend Finage reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
9.2 User's Continuation By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
These Terms shall be governed and construed in accordance with the laws of United Kingdom, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
11.1 Entire Agreement These Terms constitute the entire agreement between you and Finage regarding our Services, superseding any prior agreements we might have had between us regarding the Services.
11.2 Severability If any part of these Terms is held to be invalid or unenforceable, that part will be construed to reflect the parties' original intent, and the remaining portions will remain in full force and effect.
11.3 Waiver A waiver by either party of any term or condition of these Terms or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof.
11.4 Assignment You may not assign your rights under these Terms to any party without our express written consent. Finage may assign its rights under these Terms without condition.
11.5 Headings The section headings in these Terms are for convenience only and have no legal or contractual effect.
